These terms and conditions (“Terms & Conditions,” “Terms Of Use”) set forth the terms and conditions of Afro Techlabs (“us,” “our,” and “afrotechlabs.com”) applicable to your (“you,” “your” and “yourself”) use of the afrotechlabs.com website located at https://afrotechlabs.com, and any related software, applications, services and/or products (collectively the “Platform”), including without limitation your use of the Platform: (A) to obtain development services as a “Client” (B) to perform development services as a “Developer” and/or (C) to partner with us to provide developers to clients as a “Partner.” Your use of the Platform constitutes your agreement to all of the terms and conditions in the Terms of Use, and afrotechlabs.com encourages you to read the Terms of Use carefully. In the event of a conflict between these Terms of Use and any other agreement, whether written or oral, between afrotechlabs.com and you, whether in your capacity or as the representative of a Client, Developer, or Partner, these Terms of Use shall supersede and control. IF YOU OBJECT TO ANYTHING IN THE TERMS OF USE OR OTHERWISE DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THESE TERMS OF USE, DO NOT USE THE PLATFORM AND EXIT IMMEDIATELY, AS YOU ARE NOT AUTHORIZED TO USE THE PLATFORM.
You understand and agree that Afro Techlabs may revise, modify and/or supplement the Terms of Use (the “Revised Terms of Use”) at any time. Any Revised Terms of Use will be effective immediately after notice is sent to you via email. By continuing to use the Platform following notice, or by failing to deactivate your account, you hereby agree to be bound by the Revised Terms of Use and acknowledge that your continued use of the Platform is valid consideration for the Revised Terms of Use.
1. Acceptance of Terms
You agree to be bound by these Terms & Conditions by engaging our services or using our software. If you do not agree with any part of these terms, please refrain from accessing or using our services.
2. Scope of Services
Afro Techlabs provides custom software development solutions, catering to clients from diverse industries. Our services include but are not limited to web development, mobile application development, software integration, and software maintenance.
3. Intellectual Property
All software, code, designs, and materials developed by Afro Techlabs remain the exclusive property of Afro Techlabs until full payment is received. Upon receipt of payment, the intellectual property rights will be transferred to the client, subject to any pre-existing third-party agreements.
4. Confidentiality
We value the privacy and confidentiality of our clients’ projects. Afro Techlabs shall not disclose confidential information the client shares to any third party without explicit consent unless required by law.
5. Payment Terms
The pricing for our services will be provided in a detailed proposal tailored to the specific requirements of your project. A non-refundable deposit will be required before the commencement of any development work, with the remaining balance due upon completion.
6. Project Timeline
Afro Techlabs will make every effort to meet the agreed-upon project deadlines. However, unforeseen circumstances may arise, and we reserve the right to adjust the timeline accordingly, keeping the client informed of any changes.
7. Limitation of Liability
While we strive for excellence, Afro Techlabs cannot guarantee that our software or services will be error-free or uninterrupted. We shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of our software or services.
8. Indemnification
By engaging our services, you agree to indemnify and hold Afro Techlabs, its employees and associates harmless from any claims, damages, or losses arising from your use of our software or services.
9. Governing Law
These Terms & Conditions shall be governed by and construed per the laws of Ghana. Any disputes arising from this agreement shall be resolved through amicable negotiations.
10. Modifications to Terms
Afro Techlabs reserves the right to modify or update these Terms & Conditions at anytime. Clients will be notified of any changes, and continued use of our services will signify acceptance of the revised terms.
